End-user license agreement

We grant you a limited, non-exclusive, non-transferable and revocable right to access and use AI Bookkeeper for your own or your clients' bookkeeping, for as long as this agreement is in force.

This is a right to use the service, not a sale of it. You may not resell, sublicense, rent or white-label the app, and the licence ends when the agreement does.

Do not reverse-engineer, decompile or attempt to extract the source or models behind the app, except where the law says that restriction cannot apply.

Do not use AI Bookkeeper to break the law, to breach your own agreement with Intuit or Xero, to upload content you have no right to, or to reach data belonging to another customer.

Do not attack, overload, probe or disrupt the service, and do not remove or obscure any notice of ownership.

You are responsible for what happens under your account and for keeping your sign-in details safe. Tell us promptly if you believe someone else has gained access.

When you connect a QuickBooks company, you confirm you are authorised to connect it and to grant AI Bookkeeper access to the data in it. If you keep books for clients, that authority has to come from each client.

AI Bookkeeper connects to QuickBooks Online through Intuit's OAuth 2.0 flow; we never receive your QuickBooks username or password. You authorise the app to access the QuickBooks data described in the product privacy policy, and to write back only the approved work you direct it to.

AI Bookkeeper is an independent application. It is not provided, endorsed or certified by Intuit or Xero, and your use of QuickBooks Online remains governed by your own agreement with Intuit. Intuit is an intended third-party beneficiary of the restrictions in this agreement that protect QuickBooks data, and may enforce them.

You can disconnect AI Bookkeeper at any time from the Apps page in QuickBooks Online. That revokes our access immediately.

AI Bookkeeper prepares the first pass and scores its own certainty; it does not close your books on its own. Nothing it produces reaches your accounting platform until a person approves it.

Nothing in the app is accounting, tax or legal advice. The responsibility for your books remains yours and your accountant's, and you are responsible for reviewing the app's output before you rely on it.

Subscriptions renew automatically for the same period unless you cancel. You can cancel at any time, and cancellation takes effect at the end of the current billing period; we do not refund partial periods. Prices are exclusive of taxes, which are added where they apply.

We will not change what you pay for a current billing period after it has started. Fees already published for the product apply as stated there.

Your documents and your accounting data remain yours. You grant us only the limited licence needed to process them to provide the service — read your documents, extract and score the fields, prepare the reconciliation, and sync approved work back — and nothing more.

How that data is handled, stored, kept and deleted is set out in the product privacy policy, which forms part of this agreement.

The AI Bookkeeper application, its software, the models and logic behind it, the name and the bee mark are ours and stay ours. This agreement grants you the licence above and nothing else.

If you send us feedback, we may use it to improve the product without owing you anything for it. We will not identify you as its source without your permission.

AI Bookkeeper is an early-access product under active development, provided "as is" and "as available". We do not warrant that it will be uninterrupted or error-free, and we do not commit to a service level unless we have agreed one with you in writing.

To the extent the law allows, we disclaim the implied warranties — merchantability, fitness for a particular purpose, and non-infringement. Nothing here excludes a warranty that cannot lawfully be excluded.

To the extent the law allows, we are not liable for indirect, incidental or consequential loss, or for lost profits, revenue or data, arising from your use of AI Bookkeeper.

Our total liability to you for any claim is limited to the fees you paid for AI Bookkeeper in the 12 months before the claim.

Nothing in this section limits liability that cannot lawfully be limited — including for death or personal injury caused by negligence, or for fraud.

This agreement runs for as long as you use AI Bookkeeper. You may stop at any time by disconnecting the app and closing your account. We may suspend or end your access if you breach this agreement or put the service or other customers at risk.

When the agreement ends, your licence to use the app ends with it. Disconnecting revokes our access to your QuickBooks data immediately; what happens to data we already hold is governed by the retention terms in the product privacy policy.

We may update this agreement as the product changes. We will give notice of a material change, and continuing to use the app after it takes effect means you accept it.

This agreement is governed by the laws of India, and the courts of Tamil Nadu have jurisdiction over any dispute.
